International oil & gas facilities service provider.

Develop and review various types of commercial agreements and contracts. Review and comment on the contract bid documents. Review and assess exceptions taken by subcontractors and vendors. Provide commercial and contractual inputs to the proposal department. Advise Project Director/ Managers on contract conflicts, commercial matters and claims. Awareness of project insurance requirement.

The primary duties of this role include:

  • Design various types of agreements and contracts: such as subcontracts, consultants’ contracts, sponsorship, joint venture contracts, consortium agreements, MOU, confidentiality agreement, personnel hire agreement, guarding services agreement, lease agreements for hiring premises etc. Review the same with the inputs from the client, modify where necessary and finalize the draft agreement.

  • Develop and review invitation to bid documents for tendering. Comment on contract terms and conditions and other related commercial instruments like bank guarantees, parenting company guarantees etc. Coordinate with the proposals’ team, project managers and discipline projects engineers. Coordinate with Proposal Department to complete risk assessment process.

  • Provide contractual and commercial inputs to the proposal department for submitting prequalification proposals to the clients.

  • Review exceptions proposed by the vendors to the terms and conditions of the purchase/site services. Review performance guarantee / advance payment guarantee provided by the subcontractors and/or vendors.

  • Advise and assist Project Managers on contract conflicts, commercial matters and claims, on arbitration proceedings and final dispute resolution procedures with clients and with subcontractors. Initiate actions to seek the Company Board’s approval for the proceedings.

  • Support Project Managers in initiating and preparing time and cost related variations and claims. Advise Project Manager on compiling support documents for potential claims, prepare advance defence for issues that are likely to evolve during the execution of the Project. Coordinate for contractual and commercial audits for ongoing projects and contract and subcontract closeout.

  • Support HR Department in reviewing various types of agreements like Guarding Services Agreement, Lease Agreement, Handling Employer’s Liability Claim and other related litigation matters.

Develop manuals for the contracts and commercial departments such as:

  • Contracts and Commercial Manual

  • Risk Assessment and Risk Management Manual

  • Invitation to Tender Document

  • Subcontract Management Manual

  • Insurance Management Manual

  • Contract Review Procedure

  • Subcontract (on Back to Back basis)

  • Subcontractor Prequalification Questionnaire

  • Terms and Conditions of Purchase

  • Terms and Conditions for General Services

  • Terms and Conditions for Hire of Personnel

  • Terms and Conditions for Vendor Representative Site Services

  • Create various types of databases such as types of agreements, subcontractors, and other related aspects for the usage of contracts and commercial department. Develop library, acquire and add various books and literature to be used by contracts department.

  • Support in claims settlement, dispute resolution, litigation and arbitration proceedings.

  • Implementation and adherence to HSE and Quality System procedures and plans.

  • Carry out any other duties as directed by the supervisor

Job/ Cost Impact:

Support to proposals and projects departments to develop and finalize contracts and agreements, for timely submission of technical/ commercial proposals, submission and settlement of project related variations and insurance claims. Provide contractual and commercial input to submit prequalification proposals to the clients.

Decision Making Authority:

Decisions confined to the finalizing of agreements, for timely submission of technical/ commercial proposals, submission and settlement of project related insurance. Consults with Supervisor on key issues affecting contract variations. Support and input for decision making of Supervisor.

Qualifications/ Experience:

The following skills, qualifications and experience are required:

  • Graduate/Post graduate (Engineering or Business Administration Degree).

  • Over 10 years of relevant EPC experience in oil and gas industry.

  • Technical disciplines related to oil & gas industry projects.

  • Need Personnel with experience in Kazakhstan/ CIS experience.

  • Should have experience and knowledge of contracts/ subcontracts management and administration.

  • Exposure to contract law preferred.

  • Experience and knowledge of various commercial instruments used by EPC contractor.

  • Written and oral communication in English

  • Team skills and organizing ability

  • Negotiation skills

  • Analytical ability and attention to detail.

  • Ability to work under pressure
